Terms of Service

CashFlow OS is an invitation-based application that produces cash-flow statements, project profitability views, and forecasts from financial data, including data you authorize us to read from QuickBooks Online. Numerical results are produced by deterministic calculations; AI is used only to generate plain-language narrative summaries of those results.

To use the Service you must have an account provided or invited by your organization. You must be at least 18 years old and authorized to act on behalf of your organization. You agree to:

• Provide accurate account information and keep it up to date;
• Keep your login credentials confidential;
• Accept responsibility for all activity under your account;
• Notify us promptly of any unauthorized use of your account.

If you connect a QuickBooks Online company, you authorize us to access it on a read-only basis through Intuit’s authorization process, solely to produce your reports. You represent that you are authorized to grant this access for the connected company. We do not create, modify, or delete data within your QuickBooks company. You may disconnect at any time from within the application, which revokes our access. Your use of QuickBooks Online remains subject to Intuit’s own terms and policies.

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Service, other organizations’ data, or our systems;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Use automated means to access the Service except as we expressly permit, or take any action that could disrupt or impair the Service;
• Circumvent any security measure or access control.

The Service may present AI-generated summaries that describe your calculated figures. While the underlying numbers are deterministic, AI narration may occasionally contain phrasing errors or omissions. You are responsible for reviewing your figures and should not rely on the narration as professional financial, accounting, tax, or legal advice. CashFlow OS is a reporting tool, not a substitute for your own professional judgment or advisors.

The Service, including its software, design, and content, is owned by CyberGen and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. You retain ownership of the data you provide and the financial data we access on your behalf; you grant us the limited rights necessary to operate and provide the Service to you.

Access to CashFlow OS is provided under the terms of your separate engagement or agreement with CyberGen. Any applicable fees, billing, and refund terms are governed by that agreement.

You may stop using the Service at any time and may request that your account be closed. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ceases; we may delete your data, subject to records we are required to retain.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that results will meet your requirements.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CYBERGEN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL. Our aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of the amounts you paid us in the twelve (12) months preceding the claim or one hundred U.S. dollars ($100).

You agree to defend, indemnify, and hold harmless CyberGen and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising out of your violation of these Terms, your use of the Service, or your violation of any third party’s rights.

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law provisions. Before initiating formal proceedings, you agree to contact us at legal@cybergen.ai to attempt to resolve the dispute informally. Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Palm Beach County, Florida, in English. You and CyberGen agree to bring claims only in an individual capacity and not as part of any class or representative proceeding. Either party may bring an individual action in small claims court for qualifying disputes.

These Terms, together with the Privacy Policy and any engagement agreement, constitute the entire agreement between you and CyberGen concerning the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer. We may modify these Terms and will update the “Last updated” date when we do; continued use after changes take effect constitutes acceptance.
